Terms of Service

- Parties and Scope These Terms of Service (“Terms”) govern all export sales, quotations, purchase orders, and commercial transactions between Go Exports . (“Zoe Leaf”, “we”, “us”, “our”) and any buyer, importer, distributor, or trading entity (“Buyer”, “you”) placing orders for our biodegradable tableware products. By submitting a purchase order, accepting a proforma invoice, or making any payment to Zoe Leaf, the Buyer agrees to be bound by these Terms.
- Orders and Acceptance
- All orders must be submitted in writing via email or official purchase order document.
- An order is confirmed only upon Zoe Leaf’s written acceptance and issuance of a Proforma Invoice (PI).
- Minimum order quantity is one full container load (1 FCL — 20′ or 40′). Mixed SKUs are permitted within a single container.
- Zoe Leaf reserves the right to decline any order at its sole discretion without liability.
- Specifications, quantities, and product codes must match the PI exactly. Discrepancies must be raised within 48 hours of PI issuance.
- Pricing and Payment
- All prices are quoted in USD (United States Dollars) unless otherwise agreed in writing.
- Quoted prices are valid for 15 days from the date of the Proforma Invoice.
- Standard payment terms: 50% advance payment upon PI confirmation; 50% balance against copy of shipping documents (Bill of Lading, Commercial Invoice, Packing List).
- Payment shall be made by Telegraphic Transfer (T/T) or Letter of Credit (L/C) to the bank account specified on the Proforma Invoice.
- Production commences only upon receipt and clearance of the advance payment.
- All bank charges, transaction fees, and currency conversion costs are to be borne by the Buyer.
- Delivery and Shipping Terms
- Zoe Leaf ships on FOB, CIF, or EXW terms as agreed in the Proforma Invoice (Incoterms 2020).
- Standard lead time is 3–4 weeks ex-factory from advance payment clearance. Custom and OEM orders require 6–8 weeks.
- Estimated shipment dates are provided in good faith and are not guaranteed. Zoe Leaf shall not be liable for delays caused by port congestion, shipping line schedules, force majeure, or circumstances beyond our control.
- Under FOB and EXW terms, risk and title pass to the Buyer at the point of loading/collection. Under CIF terms, risk passes to the Buyer upon delivery to the port of destination.
- The Buyer is responsible for obtaining all import licences, customs clearances, and complying with all import regulations in the destination country.
- Product Quality and Inspection
- All products are manufactured to export quality standards and inspected for defects prior to shipment.
- A pre-shipment inspection report and quality certificate are provided with every order.
- Zoe Leaf permits and facilitates pre-shipment inspections by the Buyer or a nominated third-party inspection agency at the Buyer’s cost.
- Natural products such as areca palm leaf may exhibit minor variations in colour, texture, and grain pattern. These are inherent characteristics of the material and do not constitute defects.
- Permissible defect tolerance: up to 2% by quantity for minor cosmetic variations, consistent with international standards for natural product tableware.
- Claims and Returns
- Any quality claims must be submitted in writing within 14 days of receipt of goods at the destination port, with photographic evidence and a detailed defect report.
- Claims submitted after 14 days of delivery will not be entertained.
- If a valid claim is accepted, Zoe Leaf’s liability is limited to, at our election: replacement of the defective quantity in the next shipment, or a credit note equal to the invoice value of the defective goods.
- Returns of goods to India are not accepted unless expressly agreed in writing by Zoe Leaf.
- Zoe Leaf is not liable for any consequential, indirect, or special damages arising from product defects.
- Intellectual Property and OEM Orders
- All product designs, tooling, and moulds developed by Zoe Leaf remain the exclusive intellectual property of Zoe Leaf unless otherwise agreed in a separate written OEM agreement.
- Custom tooling and die charges, where applicable, are quoted separately and are non-refundable once production has commenced.
- The Buyer warrants that any branding, logos, or artwork provided for private-label packaging do not infringe any third-party intellectual property rights, and indemnifies Zoe Leaf against any such claims.
- Confidentiality Both parties agree to keep confidential all pricing, product specifications, business terms, and any proprietary information exchanged during the course of the commercial relationship. This obligation survives the termination of any purchase order or business relationship for a period of 3 years.
- Force Majeure Zoe Leaf shall not be liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, government restrictions, labour disputes, raw material shortages, shipping disruptions, or pandemic events. In such circumstances, Zoe Leaf will notify the Buyer promptly and work to resume performance as soon as reasonably practicable.
- Governing Law and Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of India.
- Any dispute arising out of or in connection with these Terms or any purchase order shall first be referred to good-faith negotiation between the parties.
- If unresolved within 30 days, disputes shall be submitted to arbitration under the rules of the Indian Council of Arbitration, with the seat of arbitration in Chennai, India.
- The language of arbitration shall be English.
- Amendments Zoe Leaf reserves the right to update these Terms at any time. The version in effect at the time of order confirmation governs that transaction. Updated Terms will be published on our website and notified to registered buyers by email.
